Medical Device Quality Agreements and Consulting Contracts

An agreement makes responsibility boundaries explicit before a quality issue or commercial dispute tests them. A supplier quality agreement, manufacturer-distributor agreement and consulting agreement govern different relationships. Choose the document by the parties and work involved, then review it against the actual arrangement.

Separate quality duties from commercial terms

Identify who controls specifications, approves changes, releases product, retains records and receives complaints. Define communication and escalation routes, including notification of changes that may affect the other party. Commercial terms such as scope, deliverables, payment and intellectual property also need clear agreement, but they do not replace the allocation of quality and regulatory duties.

Check the agreement against operating processes

Compare the responsibilities with purchasing, complaint, change-control and record-access workflows. Confirm that each party can perform the duties assigned to it. For consultants, describe the specific engagement and approval of deliverables rather than rely on a master agreement to define every future project. Regulatory duties cannot be assumed to transfer simply because a contract assigns a task.

Practical checklist

  • Identify parties, products, services and markets.

  • Allocate quality responsibilities explicitly.

  • Define notifications, access and escalation.

  • Review scope and commercial terms.

  • Align the agreement with operating procedures.

Example

A distributor may receive a complaint first while the manufacturer performs the technical investigation. The agreement should make notification, information transfer and follow-up responsibilities clear so the case does not stall between organizations.

Common mistakes

Avoid using an agreement for one relationship as though it automatically fits another. Tailor party roles and market responsibilities, and obtain appropriate legal and regulatory review before execution.

Choose the relevant A.P. Lyon documents

Use the United States quality agreement when allocating duties between a device company and its supplier for that market.

Use the Europe quality agreement when defining manufacturer and distributor responsibilities for the European arrangement.

Use the master consulting agreement as a starting structure for engagement duties and commercial expectations.

Use contract-review controls to assess product approvals, pricing, delivery and contractual requirements before commitments are accepted.

Review the product page, document previews and any content list before choosing. Adapt the selected documents to your device, processes and applicable requirements; the organization must generate and review its own implementation evidence.
